Expertise in Mergers and Acquisitions

Biz Invest is a new brand chosen to represent the merger of RBG Consulting and Rafa Participações, allowing both companies to enlarge the group of partners and get into new markets.

In addition to an extensive background in mergers and acquisitions and fundraising, Biz Invest’s team distinguishes itself from competing offices by means of great management experience (CEOs and C-Level Executives from companies such as Coca-Cola, Mate Leão, Sucos Mais, HortiFruti, Kero-Coco, Trop Brasil, Anglo Gold Ashanti, among others) and in proprietary investments in private companies (business services, real estate, industrials, wholesale and retail sectors). We believe this feature puts us in a privileged position to defend the best interests of our clients, since what normally defines the success of a M&A deal is the consistency of the assumptions adopted in the company’s projections – often extrapolating financial matters and encompassing details about opportunities to improve the business management.

We have solid network and credibility with investment funds, banks, strategic entrepreneurs and executives. In addition, we have international partners located at the main global business centers, that expand our capability to attract investors.

Renato Barcellos Guimarães

Renato is a qualified investor in the capital market and member of the board of some large national companies. In his professional career, he occupied several high-profile positions, among which are:

  • CEO of Nordeste Refrigerantes Ltda (Coca-Cola and Kaiser products in the States of Bahia, Ceará, Rio Grande do Norte and Piauí);
  • CEO of Refrigerantes Minas Gerais Ltda – REMIL (Coca-Cola and Kaiser products in the State of Minas Gerais);
  • CEO of Leão Júnior S.A. (Matte Leão products – national leaders in the tea market);
  • CEO of Amacoco (Kero-Coco products – national leaders in the coconut water market);
  • CEO of GNC Brazil – General Nutrition Center (franchising group);

João Luiz Castanheira

Born and raised in Ponte Nova, João Luiz started his career as an entrepreneur in the 80’s. Graduated in Business with emphasis on Marketing, is one of the partners of Biz Invest.

Collects investments in companies from various sectors such as: juice, beverage and fruit pulps, infrastructure and civil construction, retail of petroleum products and electric equipment, technical and environmental services. He also made strategic exit in several of those ventures, among which:

  • Sucos Mais S/A, juice company, sold to Coca Cola Company;
  • Trop Frutas do Brasil S/A, a fruit processing company, sold to Coca Cola Company;

In mergers and acquisitions, beside his own investments, he led important operations in the segments of juices, beverages and fruit pulps; Coffee and agribusiness; And compensated furniture.

He was the CEO of Sucos Mais (an emblematic case of entrepreneurship in the non-alcoholic beverage market, having

the opportunity to participate in the project since its inception) and Managing Director of Trop Frutas do Brasil (Tropical fruit processing industry, another case of successful entrepreneurship, when he also led the project since its implementation). In this sector, he had the opportunity to carry out several projects related to his projects:

  • Coordinated the implantation of fruit poles north of the ES;
  • Developed projects for several major players in the national beverage segment;
  • Founded and acted as VP of Abrasuco, acting in the regulation of a series of practices of the sector;
  • Led several projects with development agencies and public agencies focused on the fruit chains of MG and ES.

Currently, he is also a director and adviser of some companies that hold shares: Elétrica Castanheira; Auto Posto Rio Doce; Rafa Participações e Empreendimentos; Locares – Rental of Containers and Machines.

Rafael Couto Guimarães

Rafael is a lawyer and a corporate finance expert. His academic résumé shows a bachelor degree in Law from Universidade Federal de Minas Gerais, a Master’s degree in Business Law (Droit des Affaires et de l’Économie) from Université de Paris I – Panthéon/Sorbonne (France), a MBA in Finance from Ibmec and articles published in books and magazines. His professional experiences comprise:

  • CEO of Hortigil Hortifruti S.A., a retail company with an innovative business model that employs more than 5.000 people and has shops in the States of Rio de Janeiro, São Paulo, Minas Gerais and Espírito Santo;
  • CEO of Trop Frutas do Brasil S.A, a model company in the production of fruit pulp and agricultural productive arrangement, acquired by the Cola-Cola Group;
  • Leadership of many M&A successful operations;
  • Leadership of an investment company that focuses on private equity and venture capital opportunities;
  • Years of work in some of the best law firms in Minas Gerais, focusing on Corporate Law and contracts;
  • Professor of Corporate Law and Bankruptcy Law.

Hélcio Roberto Martins Guerra

Hélcio is a world reference in the mining sector. Until December 2016, he was the highest executive of Anglo Gold Ashanti effectively running the operations in Brazil and Argentina, officially occupying the post of Senior VP – Americas. Among other previous experiences, he was also Director of Minerals of Industrial and Noble Metals at Vale. He decided to end his executive career to dedicate himself to Biz Invest.

His academic background includes Metallurgical Engineering graduation from the Federal University of Minas Gerais (UFMG), Executive MBA from JL Kellogg Graduate School of Management (USA) and specialization courses at INSEAD (France), MIT (USA), Wharton Business School (USA) and IMD Business School (Switzerland).

He has extensive experience with mergers and acquisitions, including privatizations of public companies, and has been a member of several Boards of Directors.

Joaquim Martino

Joaquim Martino has a world-class résumé in the iron mining sector. He was recently a Director at EBX Group, holding company former controller of MMX, LLX, MPX, OGX, CCX, OSX and AUX subsidiaries, where he supervised several mining, logistics an energy projects, after being co-founder and CEO of MMX company. At Vale, he was COO of the North System (composed of Carajás mines, railway and Ponta da Madeira Port) and COO of Tubarão Pelletizing Plants, two of the most important projects of the company. At CSN, he was COO of Casa de Pedra, a referential mine in Brazil. Joaquim is also a shareholder and co-founder of Manabi Mineração, which holds relevant iron projects and mining licenses in Brazil.

Joaquim is an electrical engineer graduated from Pontifícia Universidade Católica de Minas Gerais (PUC-MG) with specialization in Mining, Raw Materials Applications for the Steel Industry, Electric Power Generation and Transmission, Business Management and Corporate Finance.

Along his executive career, he conducted several purchase and sale operations of companies and mining projects, developing high proficiency at mergers and acquisitions.

Rafael Sette e Castanheira

Rafael is an administrator and finance specialist. His academic résumé shows a bachelor degree in Business Administration from IBMEC-MG, a specialization in Finance Management from Fundação Dom Cabral and several others Management courses from renowned Brazilian institutions.

His professional experiences include consulting and restructuring projects for large companies, participation in successful M&A transactions, member of the Board and shareholder of companies in a wide range of industries.
